Terms of Use & Content License Agreement

1. Definitions

  • “Content”
    All text, graphics, logos, infographics, images, videos, code snippets, and other materials made available on or through the Site.
  • “Personal Learning Use”
    The right to view, download, and store single copies of Content solely for your own private, non-commercial study and reference.
  • “Prohibited Uses”
    Any use of Content beyond Personal Learning Use, including but not limited to reproduction, distribution, public performance, derivative works, or any commercial or third-party use.

2. Acceptance of Terms

By accessing or using SecOpsMate.com (the “Site”), you agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree, you must immediately cease using the Site.

3. Scope of Use

The Site provides cybersecurity insights, articles, and watermarked infographics (collectively, the “Content”). The Content is for your personal, non‑commercial use only. Any other use requires prior written permission from Sameh Younis.

4. License Grant

  1. Personal Learning License. Subject to your strict compliance with this Agreement, Licensor grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Content solely for your Personal Learning Use.
  2. Reservation of Rights. All rights not expressly granted herein are reserved by Licensor. No ownership interest in the Content is transferred to you.

5. Intellectual Property Rights

All Content—text, graphics, infographics, logos, and other materials—is the exclusive property of Sameh Younis or licensed third parties. You agree not to:

  • Copy, reproduce, distribute, display, or create derivative works from the Content, except as expressly permitted herein.
  • Remove or alter any watermark or proprietary notices.
  • Misrepresent your relationship to the Site or its author.

6. Permitted vs. Prohibited Uses

6.1 Permitted Uses

  • Viewing or downloading a single copy of Content for your Personal Learning Use.
  • Using watermarked infographics “as is” in private study, provided you do not modify, remove the watermark, or claim authorship.

6.2 Prohibited Uses

You may not, directly or indirectly:

  • Reproduce, distribute, sell, sublicense, rent, lease, or otherwise transfer any Content.
  • Create derivative works, adaptations, translations, or improvements of any Content.
  • Publicly display, perform, broadcast, or otherwise exploit any Content.
  • Use Content for education, training, presentations, or any benefit to third parties (e.g., customers, partners, employers).
  • Remove or alter any copyright, watermark, or proprietary notices.
  • Frame, scrape, mirror, crawl, or harvest data from the Site by any automated means (robots, spiders, scripts).
  • Circumvent any technical or digital rights management measures.

7. Infographic License

You may download and use our watermarked infographics as is for illustrative or educational purposes, provided that:

  1. You do not modify, adapt, or create derivative works.
  2. You do not remove or obscure the watermark.
  3. You do not claim ownership or authorship.

Any sale, sublicensing, or commercial redistribution of these infographics is strictly prohibited.

8. Content Usage Restrictions

Without limiting the foregoing, you may not:

  • Frame or mirror any part of the Site without permission.
  • Use any automated means (robots, spiders) to access or extract data.
  • Harvest or collect personal data for unsolicited marketing.
  • Circumvent any security or access restrictions.

9. Enforcement and Remedies

  1. Monitoring & Revocation. Licensor reserves the right to monitor Licensee’s compliance and to revoke your license at any time without notice.
  2. Injunction & Damages. Unauthorized use constitutes infringement and may result in injunctive relief, monetary damages, and attorneys’ fees in Canadian or U.S. courts.
  3. Costs & Fees. You agree to reimburse Licensor for reasonable costs incurred in enforcing this Agreement, including collection costs and attorneys’ fees.

10. Jurisdiction & Governing Law

  1. Primary Law. This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada, without regard to conflict-of-law principles.
  2. Exclusive Forum. Except as described below, any dispute shall be brought exclusively in the provincial or federal courts sitting in Toronto, Ontario, Canada.
  3. Local Mandatory Laws. If you reside in a jurisdiction whose mandatory laws afford you greater rights than those in this Agreement, such local laws shall govern solely to the extent of that difference.

11. User Accounts and LinkedIn OAuth

Registration and login are handled via LinkedIn OAuth. By using LinkedIn OAuth, you consent to LinkedIn’s data practices when you sign in. We collect your LinkedIn username, first name, last name, email, and avatar URL solely for profile and authentication purposes.

12. Privacy and Data

All personal data is handled under our Privacy Statements (EU/UK/US/CA/AU/BR/ZA) and Cookie Policies, which are served based on your geolocation. See the Privacy link in the footer for details.

13. User Conduct

You agree not to use the Site to:

  • Post unlawful, defamatory, obscene, or infringing content.
  • Interfere with Site operations or servers.
  • Engage in phishing, spamming, or other abusive behaviors.

14. Termination

This Agreement remains in effect until terminated. Licensor may suspend or terminate your access immediately, without notice or liability, for any breach of this Agreement. Upon termination, you must destroy all copies of downloaded Content in your possession or control.

15. Disclaimer of Warranties

THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. SAMEH YOUNIS DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAMEH YOUNIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SITE OR CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

17. Indemnification

You agree to indemnify, defend, and hold harmless Licensor and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

  • Your breach of this Agreement;
  • Your violation of any law or regulation; or
  • Your unauthorized use of the Content.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada, without regard to conflict of law principles. Any dispute shall be resolved exclusively in the courts of Toronto, Ontario.

The Site may contain links to third-party websites or services. Licensor does not endorse and is not responsible for their content, privacy policies, or practices. Your use of any third-party sites is at your own risk.

20. Modifications to Terms

We may amend these Terms at any time by posting the revised version on the Site. Your continued use after such changes constitutes acceptance. We recommend you review these Terms on every login and/or periodically.

21. Entire Agreement

These Terms, together with our Privacy and Cookie Policies, constitute the entire agreement between you and Sameh Younis regarding the Site.
